Junior Balmoral acquired by WallBridge mining WM
Wallbridge Mining Company Limited and Balmoral Resources Ltd. Announce Completion of Plan of Arrangement
Pursuant to the Arrangement, Balmoral shareholders have received 0.71 of a common share of Wallbridge (each whole common share a “Wallbridge Share”) in exchange (the “Exchange Ratio”) for each Balmoral Share held immediately prior to completion of the Arrangement. In the aggregate, 130,556,944 Wallbridge Shares were issued under the Arrangement to Balmoral shareholders as consideration for their Balmoral Shares. The existing Wallbridge and former Balmoral shareholders now own approximately 82% and 18% of the issued and outstanding Wallbridge shares, respectively.
As a result of the Arrangement, Balmoral has become a wholly-owned subsidiary of Wallbridge, and the Balmoral Shares are anticipated to be de-listed from the Toronto Stock Exchange following the close of trading on May 25, 2020.
I’ve been a long term holder of Balmoral and I voted for the arrangement. I am liking what I see developing here I just wish they would get rid of the OTC listing and go onto NYSE.
Maybe they figure why bother — just wait for KL to buy them out — I’m hoping (because of geography — Detour — ) negotiations already ongoing. Just speculation. (I won’t bore you with my other merger fantasies.)
Good speculation but I would hope the new combo of Wallbridge and Balmoral would run for a bit 1st.
Agree. Hope Wallbridge do not sellout early to major miners before getting best valuation from market. Current valuations paid by buyer is low. Like to see 150% valuation for Rocks.
We are in these to make money by high leverage not for mergers n buyouts. Not me.
